UK NDA Clause Standards — Key Legal Requirements Under English Law

In the United Kingdom, NDAs are governed by the Trade Secrets (Enforcement, etc.) Regulations 2018 (implementing the EU Trade Secrets Directive) and the common law duty of confidence established in Coco v AN Clark (Engineers) Ltd [1969]. English courts apply a three-part test: the information must have the 'necessary quality of confidence,' be imparted in circumstances importing an obligation, and be used without authorization. Clause-by-Clause Standards

Definition of Confidential Information

Market Standard

Information disclosed in writing and identified as 'Confidential' at the time of disclosure. If disclosed orally, the Disclosing Party shall summarise the information in writing and designate it as confidential within fourteen (14) days.

Fairness Test

English courts expect specificity. Vague definitions like 'any and all information' may be void for uncertainty. Information must be identifiable as confidential at the time of disclosure.

Exclusions from Confidential Information

The obligations shall not apply to information that: (a) is in the public domain other than by breach; (b) was already in the Recipient's possession; (c) is received from a third party without breach; (d) is independently developed without access to the Confidential Information.

All four exclusions expected. Independent development must be explicit — English courts will not imply this exclusion.
